Welcome to the UWSC Marketplace (“we”, “us”, “our”). These Terms of Use govern your access to and use of our website, products, services, and vendor offerings. By using the Marketplace, you agree to follow these Terms. If you do not agree, please do not use the site.

These Terms apply to all visitors, customers, vendors, and anyone who interacts with the Marketplace.

To make purchases or access certain features, you may need to create an account. You agree to:

• Provide accurate and up‑to‑date information
• Keep your login credentials secure
• Notify us immediately of unauthorized access

You are responsible for all activity that occurs under your account.

We reserve the right to suspend or terminate accounts that violate these Terms.

You agree to use the Marketplace only for lawful purposes. You may not:

• Interfere with the website’s functionality
• Attempt to access restricted areas
• Use automated tools to scrape or collect data
• Upload harmful or malicious content
• Misrepresent your identity
• Violate intellectual property rights
• Engage in fraudulent or deceptive activity

We may restrict or block access to the Marketplace if misuse is detected.

When you make a purchase:

• You agree to provide accurate billing and shipping information
• You authorize us or our payment processors to charge your payment method
• You understand that orders may be accepted, rejected, or cancelled based on availability or other factors

All payments are processed securely by third‑party providers. We do not store full payment details.

The UWSC Marketplace hosts products and services offered by independent vendors. Vendors are responsible for:

• Product descriptions
• Pricing
• Inventory
• Shipping
• Customer service related to their products
• Compliance with applicable laws

We are not the seller of vendor products unless explicitly stated.

If you have an issue with a vendor order, we will assist in facilitating communication, but the vendor is responsible for resolving the matter.

By placing an order, you agree to the terms described in those policies.

All content on the Marketplace — including logos, graphics, text, images, product designs, and branding — is owned by the UWSC Marketplace or its vendors and is protected by copyright and trademark laws.

You may not:

• Copy
• Reproduce
• Modify
• Distribute
• Sell
• Reverse‑engineer

any part of the Marketplace without written permission.

If you submit content (reviews, messages, uploads), you grant us a non‑exclusive, royalty‑free license to use, display, and share that content for Marketplace operations. 

You agree that your content will not:

• Violate any laws
• Contain harmful or offensive material
• Infringe on intellectual property rights

We may remove content that violates these guidelines.

The Marketplace may include links or integrations with third‑party services. We are not responsible for:

• Their content
• Their privacy practices
• Their terms
• Their performance

Use of third‑party services is at your own discretion.

The Marketplace is provided “as is” and “as available.” We do not guarantee that:

• The site will be error‑free
• The site will be uninterrupted
• Products will meet your expectations
• Vendor listings will always be accurate

To the fullest extent permitted by law, we disclaim all warranties, express or implied.

To the maximum extent permitted by law, the UWSC Marketplace is not liable for:

• Indirect, incidental, or consequential damages
• Loss of data
• Loss of profits
• Issues arising from vendor products or services
• Unauthorized access to your account
• Website downtime or errors

Your sole remedy for dissatisfaction with the Marketplace is to stop using it.

You agree to indemnify and hold harmless the UWSC Marketplace from any claims, damages, losses, or expenses arising from:

• Your use of the site
• Your violation of these Terms
• Your interaction with vendors
• Your misuse of Marketplace content

We may update these Terms from time to time. When changes are made, the “Effective Date” at the top of the page will be updated.

Continued use of the Marketplace means you accept the updated Terms.

These Terms are governed by the laws of the Province of Ontario and the laws of Canada applicable therein.
